3. Payment Terms‍

• ‍Pricing: All services are priced as agreed upon in the service agreement or quote provided to the client.‍
• Invoicing: Invoices will be issued according to the agreed payment terms. Payment is due within 7 days of the invoice date unless otherwise specified.‍
• Late Payments: Late payments may incur interest at the rate of 7% per month or the maximum allowed by law, whichever is lower.
  

4. Client Responsibilities

To enable us to provide our services effectively, you agree to:

• Provide accurate and complete information as needed.
• Respond promptly to any requests for information or approvals.
• Ensure that you have the necessary rights and permissions for any materials provided to us.
  

5. Intellectual Property

• ‍Your Content: You retain all rights to any content or materials you provide to us. By providing these materials, you grant us a licence to use, modify, and reproduce them solely for the purpose of delivering our services.‍
• Our Content: We retain all rights to any methodologies, tools, or materials we develop as part of our services. Upon payment in full, you will have a licence to use the deliverables for your internal business purposes.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation extends beyond the termination of the service agreement.

7. Limitation of Liability

To the maximum extent permitted by law:

• Echidna Engage will not be liable for any indirect, incidental, or consequential damages arising from your use of our services.
• Our total liability for any claim related to our services will not exceed the total amount paid by you for the services in question.

8. Termination

• ‍By You: You may terminate the service agreement at any time by providing written notice. You will be responsible for payment of services rendered up to the date of termination.‍
• By Us: We reserve the right to terminate the service agreement if you breach these terms or if we are unable to perform the services due to circumstances beyond our control.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts in Sydney, New South Wales.

10. Amendments

We may update these Terms of Service from time to time. Any changes will be posted on this page with the updated effective date. Your continued use of our website or services constitutes acceptance of the revised terms.
